1. Agreement and acceptance
These Terms of Service ("Terms") are an agreement between you and Habilelabs Private Limited ("Habilelabs", "we", "us"), the operator of the FinHub platform, with its registered office in Jaipur, Rajasthan, India. They govern your use of the FinHub website at www.finhub.habilelabs.io and any trial, sandbox, demo or evaluation access to the FinHub platform that we make available to you.
Production use of the FinHub platform and APIs by institutional customers is governed by a signed master services agreement or order form (a "Customer Agreement"). If there is a conflict between these Terms and a Customer Agreement, the Customer Agreement prevails for the services it covers.
By accessing the website or using trial or demo services, you accept these Terms. If you are acting on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" refers to the organisation. If you do not agree with these Terms, please do not use the website or the services.
2. Services description
FinHub provides financial-infrastructure software for banks, NBFCs, insurers and fintech companies, comprising: verification and KYC APIs that check identifiers and documents such as PAN, GST, CIN, Udyam and bank accounts against authorised data sources; a DPDP compliance platform for consent and data-governance workflows; and an AI voice-agent service for customer-facing financial conversations.
The services are tools that support our customers' own onboarding, compliance and operational processes. They do not constitute legal, compliance or financial advice, and the availability of any feature described on the website may change over time.
3. Eligibility and accounts
The services are offered to businesses and their authorised personnel, not to consumers. To use trial or platform access you must be at least 18 years of age and legally capable of entering into a binding contract.
Where we issue account credentials or API keys, you are responsible for keeping them confidential, for all activity that occurs under them, and for ensuring that only your authorised personnel use them. Notify us promptly at info@habilelabs.io if you suspect any unauthorised access or use. We may suspend credentials that we reasonably believe are compromised.
Information you provide when registering must be accurate and kept up to date. We may decline or revoke access where information is false or where use would breach these Terms or applicable law.
4. Acceptable use
You agree to use the website and services only for lawful purposes and in accordance with these Terms. In particular, you must not: (a) submit any individual's data for verification without a lawful basis to do so, including any consent required under applicable law; (b) use verification results or any data obtained through the services for purposes beyond those for which the data principal's consent was obtained or that the law otherwise permits; (c) scrape, crawl, harvest or bulk-extract content or data from the website or the services, or use them to build a competing database or product; (d) attempt to gain unauthorised access to any system, account, API or data, or probe, scan or test the vulnerability of our infrastructure without written permission; (e) interfere with or disrupt the integrity or performance of the services, including by introducing malware or circumventing usage controls; (f) misrepresent your identity or affiliation, or resell or sublicense access to the services except as expressly agreed in writing; or (g) use the services in connection with any activity that is fraudulent, discriminatory or otherwise unlawful.
We may investigate suspected violations and may suspend or terminate access where we reasonably believe this section has been breached.
5. API fair use and credits
Access to the verification APIs is governed by the credits allocated to your account under the applicable plan, trial or Customer Agreement. Each successful API call consumes credits as described in the applicable documentation or order form, and access may pause when allocated credits are exhausted until further credits are added.
We do not impose a fixed rate limit in normal operation, but the APIs are subject to fair use. Usage patterns that degrade the service for others or that indicate abuse — such as sustained abnormal traffic, automated retries without backoff, or use inconsistent with the intended purpose of an endpoint — may be throttled, and we may contact you to agree an appropriate usage profile. Trial and sandbox environments may carry lower operational thresholds and no availability commitment.
6. Intellectual property
The FinHub platform, APIs, software, documentation, website content, designs, logos and trademarks are owned by Habilelabs or its licensors and are protected by intellectual-property laws. Except for the limited right to access and use the website and any services made available to you, no rights are granted to you by implication or otherwise.
You retain all rights in the data you or your organisation submit to the services. You grant us the limited rights needed to process that data to provide the services, as described in our Privacy Policy and any applicable Customer Agreement. Feedback you choose to give us about the services may be used by us without restriction or obligation, provided we do not identify you as its source without consent.
7. Confidentiality
In the course of a trial, demo or commercial discussion, each party may receive information from the other that is identified as confidential or that would reasonably be understood to be confidential — such as product roadmaps, pricing, security documentation or business data. The receiving party will use such information only for the purpose for which it was shared, protect it with at least reasonable care, and not disclose it to third parties except to personnel and advisers who need to know it and are bound by comparable obligations.
These obligations do not apply to information that is or becomes public without breach, was already lawfully known to the recipient, is independently developed, or must be disclosed under law or legal process — in which case the recipient will, where lawful, give the discloser prompt notice. A signed non-disclosure agreement or Customer Agreement supersedes this section for the information it covers.
8. Third-party data sources
Verification results delivered through the FinHub APIs are derived from government registries, regulated data sources and other authorised third-party systems. The accuracy, completeness and timeliness of results depend on those underlying sources, which we do not control.
Source systems may be periodically unavailable, may return incomplete or outdated records, or may change their interfaces or policies. We do not warrant the continuous availability of any particular data source or the accuracy of the records it holds, and a verification result reflects the state of the source at the time of the query.
9. Disclaimers
The website and its content, and any trial or demo services, are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. Content on the website is for general information only and may be updated without notice; it is not legal, regulatory, compliance or financial advice.
Verification results are inputs to your own decision-making. They assist — but do not replace — your organisation's KYC, onboarding, credit and compliance judgments, and you remain responsible for the decisions you take and for your own compliance with the laws and regulations applicable to your business. Service-level commitments, if any, are only those set out in a signed Customer Agreement.
10. Limitation of liability
To the maximum extent permitted by applicable law, Habilelabs and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or in connection with these Terms or your use of, or inability to use, the website or the services, even if advised of the possibility of such damages.
To the same extent, our total aggregate liability arising out of or relating to these Terms will not exceed the amounts paid by you to us for the services giving rise to the claim during the period specified in the applicable Customer Agreement or, where no fees have been paid — such as for website or trial use — a nominal amount as determined under applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnity
You agree to indemnify and hold harmless Habilelabs and its directors, employees and agents from and against claims, liabilities, damages, losses and reasonable costs (including legal fees) arising out of or related to: your breach of these Terms; your violation of applicable law, including data-protection and KYC requirements; data you submit to the services without a lawful basis; or your misuse of verification results or of any data obtained through the services.
We will notify you of any claim subject to indemnification and reasonably cooperate, at your expense, in its defence. This section survives termination of these Terms.
12. Termination
You may stop using the website and trial services at any time. We may suspend or terminate your access to the website or to trial, sandbox or demo services at any time, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or if we discontinue the relevant service. Termination of production services under a Customer Agreement is governed by that agreement.
Upon termination, your right to use the affected services ceases and any outstanding credits associated with a trial lapse unless otherwise agreed. Sections of these Terms that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law — survive termination.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any dispute-resolution mechanism agreed in a Customer Agreement, the courts at Jaipur, Rajasthan shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the website or the services.
14. Grievances and contact

We acknowledge and address grievances within the timelines prescribed under applicable law.

15. Changes to these Terms
We may revise these Terms from time to time — for example, to reflect changes in our services, business practices or legal requirements. When we do, we will update the "Last updated" date at the top of this page and, for material changes, take reasonable steps to notify users, such as a notice on the website.
Changes apply prospectively from the date they are posted. Your continued use of the website or the trial services after revised Terms take effect constitutes acceptance of the revised Terms. If you do not agree to a change, you should discontinue use of the affected services.
